Explanation of Responses:

1. Mr. Kerko is a member of the Issuer's board of directors and an executive of Kohlberg Kravis Roberts & Co. L.P., affiliates of whom have filed a separate Initial Statement of Beneficial Ownership of Securities on Form 3. Mr. Kerko disclaims beneficial ownership of any shares beneficially owned by affiliates of Kohlberg Kravis Roberts & Co. L.P, except to the extent of his pecuniary interest therein.

2. Options vest with respect to 20% of the shares subject thereto on each anniversary of March 17, 2008, such that the option will be fully vested and exercisable on March 17, 2013.
