Explanation of Responses:

1. Mr. Clammer is a member of the Issuer's board of directors and a member of KKR & Co. L.L.C. which is the general partner of Kohlberg Kravis Roberts & Co. L.P., affiliates of whom have filed a separate Initial Statement of Beneficial Ownership of Securities on Form 3. Mr. Clammer disclaims beneficial ownership of any shares beneficially owned by affiliates of Kohlberg Kravis Roberts & Co. L.P, except to the extent of his pecuniary interest therein.

2. Options vest with respect to 20% of the shares subject thereto on each anniversary of December 1, 2005, such that the option will be fully vested and exercisable on December 1, 2010.
